Agreement to Terms
By engaging our services, requesting quotes, or entering into any business relationship with Lipi Point, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and Lipi Point.

Service Delivery
- Project timelines are estimates and may vary based on complexity
- Regular progress updates provided throughout development
- Client approval required at key project milestones
- Final delivery subject to complete payment and acceptance
Payment Terms
Payment Structure
- 50% advance payment required to commence project work
- Remaining 50% due upon project completion and delivery
- Monthly payments for ongoing maintenance and support services
- Additional work beyond scope billed separately
Payment Methods & Policies
- Payments accepted via bank transfer, digital wallets, or agreed methods
- All prices quoted in NPR unless otherwise specified
- Late payment charges of 2% per month on overdue amounts
- Refunds considered on a case-by-case basis before project commencement
Intellectual Property
Client Ownership
- Client owns all custom code developed specifically for their project
- Client retains rights to their data, content, and business processes
- Ownership transfers upon full payment completion
- Source code and documentation provided upon project completion
Lipi Point Rights
- We retain rights to general methodologies and frameworks
- Third-party libraries and tools remain under their respective licenses
- We may showcase completed projects in portfolio (with client consent)
- Pre-existing intellectual property remains our property
Client Responsibilities
Project Collaboration
- Provide clear project requirements and specifications
- Supply necessary content, images, and data in a timely manner
- Designate authorized personnel for project decisions
- Respond to queries and feedback requests within 48 hours
Legal Compliance
- Ensure all provided content is legally owned or licensed
- Comply with applicable laws and regulations in your jurisdiction
- Obtain necessary permissions for third-party integrations
- Maintain confidentiality of login credentials and system access
Limitations & Liability
Service Availability
While we strive for 99.9% uptime, we cannot guarantee uninterrupted service due to maintenance, updates, or unforeseen circumstances.
Third-Party Services
We are not responsible for the performance, availability, or policies of third-party services integrated into your project.
Data Loss
Clients are responsible for maintaining backups. We recommend regular data backups and cannot be held liable for data loss.
Business Impact
Our liability is limited to the project cost. We are not liable for indirect damages, lost profits, or business interruption.
Maximum Liability
In no event shall Lipi Point's total liability exceed the total amount paid by the client for the specific project or service in question. This limitation applies to all claims, whether based on contract, tort, or any other legal theory.
Warranty & Support
Service Warranty
- 90-day warranty on all custom development work
- Bug fixes and minor adjustments included during warranty period
- Warranty applies to deliverables as per agreed scope
- Exclusions apply for client-induced errors or third-party issues
Support Services
- 24/7 support available for critical issues (with premium plans)
- Standard support during business hours: Sun-Fri, 10AM-6PM NPT
- Dedicated account manager for enterprise clients

Confidentiality
Non-Disclosure
- All client data and project details are treated as confidential
- Non-disclosure agreements (NDAs) available upon request
- Secure storage and handling of sensitive information
- Employees bound by confidentiality agreements
Data Security
- Use of industry-standard encryption for data transmission
- Regular security audits and compliance checks
- Secure cloud infrastructure for project data
- Client data deleted upon project termination (if requested)
Termination of Services
Client Termination
- Clients may terminate services with 30 days' written notice
- Outstanding payments must be settled before termination
- Partial refunds considered for prepaid services (case-by-case)
- Deliverables provided up to the point of termination
Lipi Point Termination
- We may terminate services for non-payment or breach of terms
- 30 days' notice provided unless immediate termination is warranted
- All completed work delivered upon final payment
- No liability for losses due to termination
Governing Law & Dispute Resolution
Governing Law
- These terms are governed by the laws of Nepal
- All disputes subject to jurisdiction in Bhaktapur, Nepal
- Applicable laws include Nepal's IT and contract regulations
Dispute Resolution
- Disputes resolved through negotiation and mediation first
- Arbitration in Nepal if mediation fails
- Both parties agree to binding arbitration outcomes
